Giveaways official rules

9138-4529 QUEBEC INC. (SPYPOINT trademark) (hereinafter the “Sponsor”) with its head office at 330 Jacques-Cartier Street, Victoriaville, Quebec, G6T 1Y3, in Canada, is holding a giveaway (hereinafter the “Giveaway” which will begin on Monday, August 16, 2021, at 12:01 a.m., Eastern Time and will end on Sunday, February 27, 2022, at 11:59 p.m., Eastern Time (hereinafter the “Giveaway Period”). Entries received outside the Giveaway Period or entered in a manner not prescribed in these Rules will be deemed void and will not be accepted or included in the random draw.

The Giveaway is open to legal residents of the fifty (50) states of the United Stated, the District of Columbia and all provinces of Canada. The winner must be an actual person and be at least eighteen (18) years old of age or the legal age of majority in the jurisdiction in which he or she resides on the date of entry into the Contest.

Employees, directors, supervisors, managers, and representatives of the Sponsor and its parent company, subsidiaries, affiliates, partners, suppliers, and any other entities or people involved in the Sponsor’s business (collectively, the “Affiliated Parties”), as well as members of their immediate families (e.g.: spouses, parents, children, siblings, regardless of where they live) and people residing in the same household as an Affiliated Party, whether related or not, are not eligible to enter or win.

The Giveaway is void where prohibited by law and is subject to all applicable federal, provincial, state, territorial, municipal, and local laws and regulations in Canada and the United States (“Applicable Laws”). Entries may be void in all countries on the U.S. embargoed countries’ list.

The Sponsor reserves the right, in its sole discretion, to amend or modify the Giveaway Rules and to modify, cancel or suspend this Giveaway, without limitation, to comply with Applicable Laws or the policies of any entity having jurisdiction over the Sponsor and in the event that any cause beyond reasonable control of the Sponsor corrupts or threatens to corrupt the security, integrity, or proper administration of the Giveaway. In the event that the Giveaway closes prior to the designated closing date, the Sponsor will conduct a random draw to award the prize from among all valid entries submitted prior to the Giveaway closing date.

On the day of the draw, Monday, February 28, 2022, the Sponsor will automatically enter in the Giveaway all members of the “SPYPOINT’S Insiders Club” membership program who have been registered since at least February 28, 2022.

Moreover, the potential winner of the Giveaway will have to meet the following criteria:

1. Be a member of the “SPYPOINT’s Insiders Club” on the day of the Giveaway.
2. Be eighteen (18) years old or the legal age of majority in the jurisdiction in which he or she resides.
3. Have a valid credit card in his or her member account on the day of the draw.

Any subscription received or submitted outside the Giveaway Period or any subscription containing false or incomplete information is void. The Sponsor reserves the right to request proof of identity or eligibility to enter the Giveaway at any time at its sole discretion. The use of robotic, automatic, programmed, or otherwise unlawful means to enter the Giveaway is strictly prohibited. The Sponsor reserves the right, in its sole discretion, to disqualify from the Giveaway and any future giveaways or promotions offered by the Sponsor any individual who is or attempts to be in violation of these Rules and Regulations and any individual who has tampered or is suspected of tampering with the entry process or the Giveaway. Any participant or other individual who attempts to undermine the legitimate operation of the Giveaway process is guilty of criminal and civil offences and the Sponsor reserves the right, in such event, to seek damages to the fullest extent permitted by law.

FAILURE BY THE PARTICIPANT TO COMPLY WITH THESE OFFICIAL RULES MAY RESULT IN DISQUALIFICATION AND SELECTION OF AN ALTERNATE POTENTIAL WINNER.

Odds of winning depend on the total number of eligible entries. As the number of entries increases, the odds of winning decrease.

Canadian residents will be required, as a condition of winning a prize, to correctly answer, without assistance of any kind and within the time limit specified, the mathematical skill-testing question which will be administered by telephone or email at the Sponsor’s sole discretion.

The prize that will be awarded to the potential winner is a prize package with a total approximate value of $70,000.00 CAD, including:

• A 2021 Toyota Tundra truck of the year
• A hunting trip;
• A bow; and
• Camouflage clothing.

The Sponsor will deliver the prize to the winner’s home address and is responsible for sales taxes, shipping, insurance, and customs, if applicable.

Vehicle registration fees will be charged to the winner. The prize will be awarded “as is” without any representation or warranty of any kind. All amounts are in Canadian dollars (CAD). The Sponsor does not represent or warrant that the prize meets applicable safety, environmental, or any other applicable standards and requirements in order for the vehicle to be legally operational or certified for use on public roads in the winner’s country.

It is the winner’s sole responsibility to evaluate the vehicle and ensure that it meets all applicable standards and legal requirements for its use and intended operations.

The prize cannot be sold, transferred, or converted into cash. The Sponsor reserves the right to substitute a similar prize of equal or greater value at its discretion. The Sponsor reserves the right, at its sole discretion, to award a cash amount representing 75% of the value of the prize as described in these Rules, e.g.: $54,911.25 CAD. The amount offered as an alternative will not be increased to include any taxes, delivery charges or customs duties that may be incurred as a result of the delivery of the prize.

The Sponsor reserves the right to withhold delivery of the prize in certain U.S. states, Canadian provinces or territories, in which case the winner will receive the alternative cash prize by default.

The potential winner will be selected on Monday, February 28, 2022, at approximately 10:00 a.m. (Eastern Time), via an automated random draw from all eligible members in accordance with these Rules. The draw will be conducted by the Sponsor or an employee, agent or other representative of the Sponsor at the Sponsor’s head office at 330 Jacques-Cartier Street, Victoriaville, Quebec, G6T 1Y3, Canada.

A potential winner will be considered a winner if he or she meets all of the eligibility criteria set out in these Rules and complies with all other requirements set out in these Rules.

Within five (5) business days of the draw, a representative of the Sponsor will contact the potential winner via the email address and/or phone number provided by the member, at the Sponsor’s sole discretion, to verify compliance with the Official Rules. The potential winner will be required to respond within five (5) business days, otherwise the Sponsor may select a new potential winner from all remaining eligible participants. Refusal of a prize by a potential winner and disqualification will result in the selection of a new potential winner by random draw.

By accepting the prize, the winner consents to the use, including but not limited to the production, reproduction, publication, broadcast, and adaptation by the Sponsor of his/her name, address (city, province), voice, photograph, social network usernames, image, statements, and comments, for the administration of this Giveaway and for advertising and promotional purposes, without further notice or compensation.

In the event of a dispute regarding entries received from multiple users with the same email address, the Authorized Account Holder at the time of entry will be deemed to be the participant and must comply with these Rules. For the purposes of these Rules, the Authorized Account Holder is defined as the natural person who is assigned to an email address by an Internet access provider, Internet service provider or other organization responsible for assigning email addresses for the domain associated with the email address in question. Each selected participant may be required to provide proof that he/she is the Authorized Account Holder associated with the selected entry.

To enter the Giveaway without being a member of the Club, print your full name, age, street address, city, province or state, postal code, telephone number (including area code), and email address on a plain white piece of paper and submit your entry by mail to 330 Jacques-Cartier Street, Victoriaville, Quebec, G6T 1Y3, CA, ensuring sufficient postage. Limit of one entry per person. All entries must be received no later than February 27, 2022, at 11:59 p.m. (Eastern Time).

By entering this Giveaway, you acknowledge and agree to give the Sponsor and its authorized agents permission to collect, use, and disclose your personal information in accordance with the Sponsor’s Privacy Policy, available at https://www.spypoint.com/en/policies/privacy-policy for the purposes of the administration of this Giveaway. As a winner, your information may also be included in a publicly available list of winners.

The Giveaway is in no way endorsed, administered, associated, managed, or sponsored by the social networks used to promote it. The social networks used to promote the Giveaway will not be responsible for any problems related to the contest.

All intellectual property, including but not limited to trademarks, logos, designs, models, promotional materials, web pages, source code, images, drawings, illustrations, slogans, and representations related to this Giveaway are the property of the Sponsor. All rights reserved. Unauthorized copying or use of any copyrighted material or other intellectual property without the express written consent of the Sponsor is strictly prohibited.

By participating in the Giveaway, you agree that all problems, questions, disputes, and claims of any nature whatsoever arising out of, connected with or related in any way to the Giveaway, including, without limitation, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, the rights and obligations between participants and the Sponsor and the procedural provisions, without regard to jurisdictional or conflict of law rules or provisions, shall be construed and governed in accordance with the laws of the Province of Quebec. Any dispute or controversy arising out of or in any way connected to the Giveaway will be adjudicated by the courts sitting in the judicial district of Arthabaska. You further agree that all claims against the Sponsor shall be limited to the actual costs incurred by you as a result of your participation in the Giveaway and you expressly agree to waive any and all claims for punitive, incidental, or consequential damages. Legal fees may not be awarded.

14.1. Waiver of Right to Jury Trial

BY ENTERING THIS GIVEAWAY, YOU IRREVOCABLY WAIVE ANY AND ALL RIGHTS TO A JURY TRIAL IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THE GIVEAWAY OR THESE OFFICIAL RULES.

14.2. For Québec residents only

Any dispute regarding the conduct or organization of a promotional Giveaway may be submitted to the Régie des alcools, des courses et des jeux du Québec for a ruling. All dispute regarding the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

The Sponsor and its representatives and employees will not be liable: a) for printing or typographical errors in any material related to the Giveaway; b) for any human error, technical malfunctions, lost, delayed, or misdirected entries for any reason, failed mail, late, lost, misdirected, or failed attempts to notify a potential winner, or any combination thereof; c) for entries that are stolen, destroyed, altered, tampered with, unauthorized access to, or altered in any way; d) for damage to the participant’s or any other person’s computer system or equipment due to the participation in the Giveaway, transfer of materials in connection with the Giveaway, or downloading of any such materials; e) for any injury or damage to people or property that may be caused, directly or indirectly, in whole or in part, by the participant’s participation in the Giveaway, receipt, use or misuse of any prize; f) for the security or confidentiality of information transmitted over computer networks or breaches of privacy due to interference by third party hackers or otherwise; and g) for the failure of any third party contractor or supplier used in connection with any aspect of the Giveaway to perform or deliver any goods or services, any act of God or other events beyond the control of the Sponsor and any dissatisfaction of any kind on the part of a winner with any aspect of the Giveaway or any prize.

By entering or attempting to enter this Giveaway, each participant or potential participant agrees: a) to be bound by these Official Rules, available at https://www.spypoint.com/en/spypoint-experience/insiders-club/giveaway/terms-and-conditions during the Giveaway Period, and by all Applicable Laws and decisions of the Sponsor, which shall be final and binding; b) to waive any right to assert any ambiguity with respect to these Official Rules; c) to waive any right to bring any claim, action, or proceeding against the Sponsor and any of the Affiliated Parties in connection with the Giveaway; d) to forever and irrevocably exempt, discharge, release, defend, indemnify, and hold harmless the Sponsor and the Affiliated Parties from any and all claims, suits, actions, damages, demands, actions, causes of action, or liability of any kind arising out of or in the Giveaway; and e) fully indemnify the Sponsor from and against any and all third party claims related to this Giveaway, any breach of these Rules by the participant or any prize-related activity. Under no circumstances will the Sponsor be responsible for any event that results in the cancellation of the prize or for events beyond its control that result in the non-award of the prize or any part of the prize.

The Sponsor does not warrant, either implicitly or expressly, nor is responsible or liable for the condition of the Prizes, including but not limited to, their quality, merchantability, appearance, performance, mechanical condition, safety or fitness.

Sponsor’s liability for defective merchandise shall be limited to repairing defective or where deemed appropriate, to exchanging such defective goods within the regular warranty period in accordance with such warranties.

Prizes must be accepted as awarded and cannot be sold, exchanged, transferred or substituted for cash. Prizes or any portion thereof cannot be combined with other discounts, promotions or special offers.

Prizes will be sent by courier to the winners within thirty (30) days following the acceptation of the Prize.
