Acceptance of terms of use

This is an agreement between you and 9138-4529 Québec inc. ("SPYPOINT") regarding the service of subscription plans for photo or video transmission packages ("Packages") and Insiders Club subscriptions ("Club Insiders"), collectively the "Subscription(s)".

SPYPOINT provides the Subscriptions subject to these Terms of Use, the rules, policies and guidelines regarding the Subscriptions, and the following terms (collectively, and as may be amended from time to time, the "Terms"), are an integral part of this Agreement and govern your use of the Plans:

• Terms of Use of the SPYPOINT Services;
• Terms of Use relating to contracts for the sale of SPYPOINT Products;
• SPYPOINT's Privacy Policy.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SPYPOINT SERVICES.

If you do not have a SPYPOINT account, you will need to create one to purchase a subscription to Insiders Plans and Club. By signing up for a Subscription, you acknowledge and agree to these Terms of Use. If you choose not to accept these Terms of Use, you must refrain from using the SPYPOINT Services and refrain from subscribing to any Subscriptions offered.

The packages

SPYPOINT offers you electronically delivered Packages, which allow you to subscribe to photo, video and live streaming plans for your SPYPOINT cameras. The Packages are only compatible with cameras and accessories produced and designed by SPYPOINT ("Products"). SPYPOINT reserves the right to modify or discontinue the subscription plans of the Packages and their features from time to time.

SPYPOINT reserves the right, on a case-by-case basis, to limit or restrict the sale of Packages to any person, geographic region or jurisdiction. Any Package offer made through the SPYPOINT Services is void where prohibited by law.

By using the Plans, you agree that your data (excluding your credit card and payment information) may be transferred without encryption over various networks to enable SPYPOINT to comply with and adapt to the technical requirements of connecting networks or devices.

The INSIDERS CLUB

SPYPOINT may offer you the opportunity to join the Insiders Club, which allows you to enjoy exclusive offers and benefits available only to members. The benefits of the Insiders Club are described on the SPYPOINT website. SPYPOINT reserves the right to modify the terms and benefits of the Insiders Club from time to time. Once you use or benefit from any of the available benefits of the Insiders Club, SPYPOINT reserves the right to limit any refund to the amounts actually paid or to refuse any refund for the months of use started.

SPYDOLLARS

SPYPOINT may issue SPYDOLLARS which are redeemable for Products or Packages, before taxes. SPYDOLLARS have no cash value and are non-transferable and non-refundable. SPYDOLLARS expire immediately upon termination or cancellation of your Subscription unless you have used them prior to the termination or cancellation of the Subscription.

SPYPOINT reserves the right to modify or limit the redemption value of SPYDOLLARS at any time.

Subscription fees and renewals

Fees for Subscriptions are set at the time of your purchase or registration. Subscription fees are subject to change at any time. Fees may be subject to taxes, taxable and are non-refundable, except in specific circumstances specified in these Terms or by the law applicable to you.

Subscriptions require a periodic, monthly or annual payment of fees. By enrolling in Subscriptions, you understand that you are enrolling in a monthly or annual subscription that will automatically renew depending on the billing cycle, unless you change the renewal terms of your Subscriptions by accessing the preferences settings of your SPYPOINT account at least 24 hours prior to renewal. Subscriptions are payable in full and are non-refundable. You authorize SPYPOINT to collect fees and applicable taxes according to your renewal cycle using any payment method listed in your account.

For Long-Term Subscriptions, SPYPOINT will provide a notice of renewal, prior to the renewal date, within the time periods prescribed by the applicable law.

Payment

SPYPOINT may store information regarding the payment methods you use for your Subscriptions. SPYPOINT may make this information available to you in order to enable you to make payment for other products or services that you may purchase through the SPYPOINT Services.

Unless you notify us at least 24 hours prior to the next payment date of your billing cycle and unless you cancel your Subscription by accessing the preferences settings of your SPYPOINT account, SPYPOINT will automatically charge you the applicable recurring Subscription fee to your registered payment method.

If all payment methods in your account are declined for payment of your Subscription fees, SPYPOINT may cancel your Subscription, unless you provide us with a new payment method. If you provide a new payment method and your billing occurs before your Subscription is canceled, your billing cycle will be based on the original renewal date and not the date on which the payment was successfully made.

Cancellation of the subscription contract

You may cancel your Subscription plan by accessing the preferences settings of your SPYPOINT account and adjusting your subscription settings or by contacting the Customer Service team.

If you cancel your Subscription, you will not be refunded for any fees already paid. Any cancellation takes effect at the end of the billing period and no refunds will be given for months or years that have begun, unless required by applicable law. Your access to Subscription benefits will end at the end of the billing cycle.

SPYPOINT reserves the right, in its sole discretion, to accept or decline a subscription or to limit the use of Subscriptions.

Changes to the subscription agreement

SPYPOINT may modify the Terms and any element of these Terms and any aspect of the Subscriptions without notice to you. If any modification to the Terms is determined to be invalid, void or for any reason unenforceable, such modification shall be severable from these Terms and shall not affect the validity or enforceability of the remaining changes and the remainder of the Terms. Your continued use of the Subscriptions after the Terms have been modified constitutes your acceptance of such changes. If you do not agree to the changes, you must stop using the Subscriptions and cancel your Subscription.

RIGHT OF WITHDRAWAL (applicable to European consumers)

This section applies only to consumers residing in Europe or any other territory if required by applicable law.

By subscribing to a Subscription, you expressly agree that SPYPOINT will perform the service and provide you with the services as soon as you activate the Subscription and therefore during the fourteen (14) day period of the right of withdrawal.

You may contact us or follow the procedure suggested here. within fourteen (14) days of subscribing to a Subscription if you wish to exercise your right of withdrawal. If applicable, a full refund will be issued. This right allows you to withdraw without having to provide a reason.

SPYPOINT reserves the right to make a partial refund of the Subscription fee for a Subscription based on the use of the data or services used during the fourteen (14) day period. No refunds will be issued if the Services have been fully consumed or used during the fourteen (14) day period.

If you exercise your right to withdraw from an Insiders Club membership within the fourteen (14) day period, the refund is conditional on the return of all products, goods or services acquired while benefiting from the Insiders Club offers and benefits.

Termination by SPYPOINT

SPYPOINT's activities may change over time. SPYPOINT reserves the right to terminate any Subscription plan, in whole or in part, and to terminate your Subscription and your use of the Plans or the Insiders Club at its discretion. In such a case, you will be granted a prorated refund for the number of days remaining on your Subscription, unless the termination of your Subscription is the result of your violation of the Terms or any applicable laws, or the result of fraudulent behavior, or misuse of the Products or Services or Subscriptions or is harmful to our interests or those of other users.

Dispute resolution and limitation of liability

Any dispute or claim arising out of or relating to these Terms and the Subscription Terms is subject to the dispute resolution provisions, applicable laws, disclaimer of warranties and limitation of liability and all other terms and conditions of the SPYPOINT Terms of Service.
