Terms of Use for Contracts for the Purchase of Products

Acceptance of terms of use

This constitutes an agreement between you and 9138-4529 Québec inc. ("SPYPOINT") regarding your purchase of SPYPOINT camera and accessories ("Products") available on the SPYPOINT Services.

SPYPOINT provides the Products subject to these Terms of Use, the rules, policies and guidelines for the Products, and the following terms (collectively, and as may be modified from time to time, the ">Terms"), are an integral part of this Agreement and govern your use of the Plans:

  • Terms of Use of the SPYPOINT Services;
  • Terms of Use for SPYPOINT Subscription Agreements;
  • SPYPOINT's Privacy Policy.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE SPYPOINT SERVICES.

You may make purchases of Products with your SPYPOINT account or with a guest account if you do not have a SPYPOINT account. By making a purchase, you acknowledge and agree to these Terms of Use. If you choose not to accept these Terms of Use, you must refrain from using the SPYPOINT Services and refrain from making any purchase(s).

Your order

If you are an ordinary consumer, your purchase through the SPYPOINT Services will constitute a legally binding contract between you and SPYPOINT in accordance with applicable statutory laws granting you rights.

If you are a commercial customer (a retailer, distributor or consumer using the Products for commercial purposes or professional activities) your purchase on the SPYPOINT Services will constitute a legally binding distance contract between you and SPYPOINT subject to the necessary adjustments to your status as a merchant.

The remote purchase of certain products may be subject to a minimum order quantity. If applicable, you will be informed when you place your order.

SPYPOINT will notify the confirmation of your purchase by email, including the details of the transaction, within a reasonable timeframe.

No changes can be made once your order has been submitted. SPYPOINT reserves the right, in its sole discretion, to require additional verification or information prior to accepting any order or to cancel or refuse any order for any reason whatsoever, including (i) limiting the quantity available for purchase; (ii) inaccuracies or errors in the pricing information displayed on the SPYPOINT Services; or (iii) SPYPOINT’s inability to obtain confirmation of authorization to charge your payment method.

Price

You will pay SPYPOINT's listed price for each Product or Service, as indicated on the Platform. The prices displayed are in the currency of the country in which you reside or where your purchase will be shipped.

The final amount will include applicable sales taxes in your territory and include all taxes (T.T.C.), including VAT at the standard rate in effect and any applicable environmental surcharge. Shipping charges or other options to your purchase will be communicated to you prior to final purchase and will be included on your receipt or invoice. Shipping costs may vary depending on the value of the merchandise.

SPYPOINT reserves the right to require a minimum purchase amount in order to make an order eligible for free shipping. Free shipping only applies to orders that meet the minimum amount and the conditions listed. If applicable, the minimum threshold to be respected will be communicated to you before the final purchase. This threshold is subject to change at any time without notice.

The prices of our Products are subject to change without notice. SPYPOINT is not liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Payment method

SPYPOINT will charge, require and collect full payment from you for the Products or Services that are the subject of your order upon receipt of such order.

SPYPOINT may store information about the payment methods you use for your purchases of Products. SPYPOINT may make this information available to you in order to enable you to make payment for other purchases of products or services that you may purchase through the SPYPOINT Services.

SPYDOLLARS

SPYPOINT may issue SPYDOLLARS which are redeemable for Products or Packages, before taxes. SPYDOLLARS have no monetary value and are non-transferable and non-refundable. SPYDOLLARS expire immediately upon termination or cancellation of your Subscription unless you have used them prior to the termination or cancellation of the Subscription.

SPYPOINT reserves the right to modify or limit the redemption value of SPYDOLLARS at any time.

Delivery

SPYPOINT will deliver each order of merchandise in accordance with the shipping method offered at the time of purchase and the shipping address you have designated during your online purchase. All delivery times provided are estimated and SPYPOINT cannot be held responsible for any delays in delivery. SPYPOINT may entrust the performance of the delivery services to a third-party service provider.

SPYPOINT's primary obligation is deemed to have been fulfilled if SPYPOINT attempted to fulfill it on the date specified in the order confirmation or on the date specified in a notice sent to you within a reasonable time, but was prevented from doing so by your actions or negligence.

It is recalled that, in accordance with the applicable law, any sales contract, in which the delivery of the goods is not immediate, may be terminated by the consumer in the event that the date or period indicated to him or her has been exceeded if, after having ordered SPYPOINT to make the delivery within a reasonable additional period, SPYPOINT failed to do so. The sales contract may also be immediately terminated by the customer in the event of refusal of delivery by SPYPOINT on the agreed date, or at the expiration of the additional period as mentioned above, if such date or period constitutes an essential condition of the contract for the consumer.

SPYPOINT will remain responsible for any damage, loss or defect in the goods until they are delivered to you, after which you will be solely responsible.

Purchase limit and order termination by SPYPOINT

SPYPOINT reserves the right, but is under no obligation, to limit or restrict sales of the Products or Services to any person, geographic region or jurisdiction. This right may be exercised on a case-by-case basis.

SPYPOINT reserves the right to limit the quantities of any Product or Service offered and to refuse any order. Any offer of a Product or Service made on the SPYPOINT Services is void where prohibited by law.

SPYPOINT does not guarantee that the quality of any Product, Service, information or other material purchased or obtained by you will meet your expectations or that any errors in the Service will be corrected.

Refund, cancellation and exchange

SPYPOINT does not offer any refunds, other than to Consumers who have a right of withdrawal in accordance with applicable law.

You may, within thirty (30) days of purchasing a Product, request an exchange for another Product of the same or higher value by paying the difference in price. In the event that you choose a Product of lesser value, SPYPOINT will not refund the difference between the higher initial price and the purchase price of the replacement Product.

To complete your exchange, SPYPOINT requires a receipt or proof of purchase issued by SPYPOINT. You must contact SPYPOINT in order to obtain a Return Merchandise Authorization (RMA) number. To be eligible for an exchange, your Product must be unused and in the same condition in which you received it. Otherwise, SPYPOINT may refuse the return and dispose of the Product.

Under no circumstances will SPYPOINT accept returns for which shipping charges must be paid upon receipt. Such shipments will be refused upon receipt and returned to the sender. You are responsible for any loss or damage to the material during shipping. We do not guarantee that we will receive your returned item. Shipping and handling fees are non-refundable.

Right of withdrawal (applicable to European consumers)

This section applies only to consumers residing in Europe or any other territory if required by applicable law.

You have a right of withdrawal which runs from the date of your purchase and which can be exercised within fourteen (14) business days of the date of receipt of your order. This right allows you to withdraw without having to justify your reasons or pay any penalties except for the cost of returning the product. You can contact us or follow the suggested procedure here.

In the event of exercising your right of withdrawal, SPYPOINT will refund your entire order (products + initial shipping costs). However, you will not be refunded for any additional costs arising from the choice of a delivery method that is more expensive than the original delivery method.

The refund is always made to the original method of payment used at the time of purchase. The Product(s) that have benefited from a price reduction via a promotional code or other form of discount will be refunded up to the price actually paid by the customer. Vouchers and discount coupons are non-refundable.

The refund will be processed within the timeframes provided by applicable law once SPYPOINT receives proof of shipment or confirmation of the return of the products by the carrier.

In accordance with applicable regulations, in the event of damage or traces of wear and tear on the returned products resulting from handling beyond what is necessary to establish the nature, characteristics and proper functioning of these products, SPYPOINT may reduce the refund amount accordingly.

Force majeure

SPYPOINT cannot be held liable for any breach, even partial, or a delay in the performance of its contractual obligations that would result from the occurrence of a case of force majeure or that is attributable to a regulatory or legislative act.

Warranty

SPYPOINT offers a two (2) year warranty on cameras and other transmission devices sold and a one (1) year warranty on all other products sold, including accessories.

Visit the SPYPOINT Services to view your Product's instruction manual. In the event of any discrepancy between these Terms and the instruction manual, the information in the instruction manual shall prevail. No warranty will be given on any Product that has suffered physical damage. Any Product must be carefully inspected by one of our agents before an RMA is issued for warranty return.

Dispute resolution and limitation of liability

Any dispute or claim arising out of or relating to these Terms and the Subscription Terms is subject to the dispute resolution provisions, applicable laws, disclaimer of warranties and limitation of liability and all other terms and conditions of the SPYPOINT Terms of Service.
